Referral Agreement

1.1 This Referral Agreement (“Agreement”) is entered into by and between Jinx Design Studio, a registered small business operating under the Individual Entrepreneur regime in the Republic of Georgia (“Jinx” or the “Studio”), and the undersigned individual or legal entity (“Referrer”).

1.2 The purpose of this Agreement is to outline the terms under which the Referrer may promote the services of Jinx Studio. Upon approval, the Referrer will be issued a unique personal referral code, which may be shared publicly or privately. For each qualifying referral, Jinx Studio will issue a reward in accordance with the terms set forth in this Agreement.

1.3 By submitting the referral form and receiving a referral code, the Referrer agrees to be legally bound by the terms and conditions of this Agreement, including any updates communicated by Jinx Studio from time to time.

1.4 This Agreement may be updated from time to time to reflect legal, technical, or business changes. The most current version is always available at https://www.jinx.design/docs/referral, as indicated by the “Last updated” date. If any changes are material, we will take reasonable steps to notify you in advance.

2.1 The referral program (“Program”) is open to individuals who are at least 18 years old and have the legal capacity to enter into binding agreements.

2.2 To participate in the Program, a completed referral form must be submitted and approved by Jinx Studio.

2.3 Approval of participation is at the sole discretion of Jinx Studio, which reserves the right to deny or revoke participation at any time, without obligation to provide justification.

2.4 Each Referrer must provide a valid email address and maintain an active payment method capable of receiving referral rewards.

2.5 A valid referral is defined as a new client who has never previously engaged with Jinx Studio or submitted an inquiry, who signs up for a paid subscription, and who uses the Referrer’s unique referral code during the initial inquiry, sign-up, or payment process.

2.6 Self-referrals are strictly prohibited. Referrals between company co-founders, executives, or individuals with a formal business partnership or shared ownership interest are not eligible for rewards.

2.7 Jinx Studio is not liable for referrals that fail to apply the correct referral code or for situations where the referred party had already initiated contact with the Studio prior to the referral.

2.8 Participation in the Program does not create any employment relationship, partnership, agency, or joint venture between the Referrer and Jinx Studio.

3.1 For every qualifying referral, the Referrer will receive 5% of the net value of the referred client’s first subscription month.

3.2 If the referred client selects a multi-month plan (e.g., quarterly or annual), the reward will be calculated solely on the equivalent value of the first month, not the total amount paid.

3.3 There is no limit to the number of clients a Referrer may refer. All eligible referrals will earn rewards.

3.4 Payouts are processed within ten (10) business days after the referred client’s payment has been received and confirmed.

3.5 All referral rewards are calculated and paid in U.S. Dollars (USD), unless another currency is expressly agreed upon in writing.

3.6 Payments may be issued via Jinx Credit (for use on the Referrer’s own project), direct bank transfer, cryptocurrency (including USDT, ETH, or BTC), Revolut, PayPal, or Wise, as agreed between Jinx Studio and the Referrer.

3.7 Any payment processing fees may be deducted from the reward amount, unless waived by Jinx Studio.

3.8 Jinx Studio is not responsible for delays or failed payments resulting from incomplete or inaccurate payment details provided by the Referrer.

3.9 The Referrer is solely responsible for any tax obligations related to referral payments under the laws of their local jurisdiction. Jinx Studio may request ID verification or documentation to comply with local regulations.

3.10 If a referred client’s payment is reversed, refunded, or disputed, Jinx Studio reserves the right to withhold or recover the corresponding referral reward.

4.1 Referrers must promote Jinx Studio truthfully, ethically, and in accordance with applicable laws. This includes avoiding spam, impersonation of Jinx Studio, and any form of misleading or unauthorized advertising. All promotional statements must be accurate, based on publicly available information, and must not exaggerate or misrepresent Jinx Studio’s services, pricing, capabilities, or guarantees.

4.2 Referrers may not present themselves as employees, agents, or official representatives of Jinx Studio. They must not use Jinx Studio’s trademarks, logos, or brand assets without prior written consent. Practices such as fake referrals, domain spoofing, bidding on branded terms in paid ads, or other tactics that may confuse or compete with Jinx Studio’s marketing efforts are strictly prohibited.

4.3 It must be clearly disclosed in all public promotions that the Referrer is participating in a referral program and may receive a reward for successful referrals.

4.4 Referrers are required to comply with all applicable laws and advertising standards, including but not limited to GDPR, CAN-SPAM, and ASA guidelines.

4.5 Any non-public information shared with the Referrer regarding clients, operations, or referral data is considered confidential and must not be disclosed without prior written authorization from Jinx Studio.

4.6 Jinx Studio reserves the right to disqualify referrals, suspend rewards, or terminate participation in the Program if any rules outlined in this section are violated.

4.7 Jinx Studio is not liable for any indirect, incidental, or consequential damages arising from participation in the Program. Total liability is limited to the amount of referral reward paid to the Referrer.

4.8 Referrer data will be processed in accordance with Jinx Studio’s Privacy Policy.

5.1 Jinx Studio reserves the right to update, pause, or terminate the Program at any time, with or without prior notice.

5.2 Any changes to the Program will apply only to referrals submitted after the effective date of such changes. Referrals submitted before the change will be honored under the terms in effect at the time of submission.

5.3 Referral codes do not expire unless the Program is paused or terminated by Jinx Studio. In such cases, any unused codes will be deactivated, and no new rewards will be issued after the termination date.

5.4 If termination results from a breach of this Agreement, any unpaid referral rewards associated with the Referrer may be forfeited.

5.5 This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Georgia. Any disputes shall be resolved in the courts of Georgia, unless resolved amicably or through mutually agreed arbitration.

5.6 If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

5.7 This Agreement represents the entire understanding between Jinx Studio and the Referrer regarding the Referral Program and supersedes all prior agreements, communications, or understandings, whether written or oral.

5.8 The Referrer may not assign or transfer any rights or obligations under this Agreement without prior written consent from Jinx Studio.

5.9 Submission of the referral form and receipt of a referral code constitutes acceptance of the terms of this Agreement, including any future amendments published by Jinx Studio.
