1.1 This Subscription Offer Agreement (“Agreement”) is a legally binding public offer made by Jinx Design Studio, a registered small business operating under the Individual Entrepreneur regime in the Republic of Georgia (“Jinx” or the “Studio”). The most current version of this Agreement is available at https://jinx.design/docs/subscription.
1.2 This Agreement applies to any client, whether an individual or acting on behalf of a legal entity (“Client”), who subscribes to Jinx Studio’s design services (“Services”) offered on a subscription basis.
1.3 By completing payment, whether by clicking a “Subscribe” button or similar action on the Studio’s website that initiates payment, or by using a direct payment link provided by Jinx Studio, the Client expressly accepts this Agreement and agrees to be legally bound by its terms, conditions, and obligations.
1.4 The Client is deemed to have read, understood, and agreed to all terms of this Agreement prior to initiating payment. Initiating payment or using the Services constitutes full acceptance of this offer.
1.5 This Agreement becomes effective upon acceptance and remains in effect until terminated by either party in accordance with Section 9.
1.6 This Agreement may be updated from time to time to reflect legal, technical, or business changes. The most current version is always available at https://www.jinx.design/docs/subscription, as indicated by the “Last updated” date. If any changes are material, we will take reasonable steps to notify you in advance.
2.1 Jinx Studio provides a range of creative and strategic design services as part of its subscription, including but not limited to the categories listed below.
2.2 Product & Interface Design: Jinx Studio delivers product and interface design services. This includes the creation of user interfaces (UI) for web and mobile applications, user experiences (UX), information architecture and user flow mapping, interactive prototypes, and design systems with reusable components and visual standards.
2.3 Brand Identity & Visual Communication: Jinx Studio provides brand discovery, logo design, typography and color systems, visual style guides, packaging, marketing assets, and brand voice definition.
2.4 Strategic & Research Services: Jinx Studio’s research capabilities include competitor analysis, audience research, persona creation, usability audits, user surveys, interviews, and heuristic evaluations.
2.5 Growth & Implementation Support: Jinx Studio supports MVP and MLP launches, iterative design cycles, collaboration with outsourced or embedded teams, and visual support for integration and migration efforts.
2.6 Motion & Interactive Media: Services include animated UI elements, marketing animations, explainer videos, storyboards, and production of motion design assets.
2.7 Presentation & Marketing Design: Jinx Studio designs pitch decks, investor presentations, social media graphics, promotional visuals, online ads, and print-ready marketing materials.
3.1 Turnaround times for tasks are discussed and agreed upon with the Client in advance. Delivery timelines are estimates only and not contractually guaranteed unless explicitly agreed in writing. Jinx Studio begins work upon receiving a clear and complete request and will communicate estimated delivery timelines transparently.
3.2 Communication may occur through WhatsApp, Telegram, email, Slack, or any other mutually agreed channel. Communication preferences are defined during onboarding and may be updated by mutual consent. Jinx Studio does not maintain fixed business hours and aims for flexible and timely responses throughout the subscription term.
3.3 Jinx Studio guarantees prompt engagement for each request upon receipt. There is no internal queuing system or prioritization beyond agreed timelines.
3.4 Jinx Studio commits to reasonable effort and professional standards in service delivery but makes no warranties as to specific outcomes, campaign performance, or revenue impact.
3.5 The Client is responsible for providing timely feedback, input, necessary content, and decision-making to prevent delays. Jinx Studio is not liable for missed deadlines or unsatisfactory outcomes caused by Client inaction or unclear direction.
3.6 Revisions are unlimited within the boundaries of the original request. If the Client repeatedly changes direction, alters project goals mid-task, or expands scope beyond the agreed parameters, Jinx Studio may reclassify the task or adjust the timeline accordingly.
3.7 Clients are expected to use the Services in alignment with the intent of their subscription plan. Abusive behavior, such as excessive or irrelevant requests, vague briefs, or frequent scope shifts, may result in a service pause or renegotiation.
3.8 Jinx Studio reserves the right to decline requests that are illegal, offensive, harmful, beyond the Studio’s capabilities, or unreasonably burdensome. Any such limitations will be clearly communicated, and alternative solutions may be proposed where feasible.
3.9 The subscription includes digital design work only and does not cover physical services such as printing, material production, or delivery. Clients are responsible for coordinating any physical execution with third-party vendors.
3.10 Third-party costs are excluded from the subscription. These may include premium stock photography, licensed illustrations or videos, commercial font licenses, specialized software, or plugins. Clients are responsible for providing such assets or covering related expenses.
3.11 Development and coding services are not included. Deliverables are provided in appropriate design formats for developer handoff but do not include front-end or back-end implementation.
3.12 Marketing execution services such as campaign strategy, media buying, account management, or ongoing performance analytics are not provided. While design assets may be created for such campaigns, execution and optimization are the Client’s responsibility.
4.1 The Client agrees to pay the applicable subscription fee for the selected plan. The current pricing structure is as follows.
4.2 The “Trial Task” includes a one-week turnaround, is available to new clients only, and is priced at $500 as a one-time purchase. The Trial Task typically includes one (1) design request of limited complexity. If the request exceeds a reasonable scope, Jinx Studio may propose a paid upgrade to continue the task.
4.3 The “Single Soul” plan includes not less than twenty (20) hours of design per week, with one (1) active designer assigned and a lead designer included. A project manager is not included. The price is $13,200 for ninety (90) days or $5,200 for thirty (30) days.
4.4 The “Double Deal” plan includes not less than eighty (80) hours of design per week, with two (2) active designers assigned and a lead designer included. A project manager is not included. The price is $26,400 for ninety (90) days or $10,400 for thirty (30) days.
4.5 The “Trouble Team” plan includes not less than one hundred sixty (160) hours of design per week, with unlimited active designers, a lead designer included, and a project manager included. The price is $52,800 for ninety (90) days or $20,800 for thirty (30) days.
4.6 The “Custom Chaos” plan is priced on a custom basis. Clients must contact Jinx Studio for a personalized quote.
4.7 All prices are quoted in U.S. Dollars and are subject to applicable taxes and fees. Pricing may be adjusted from time to time at Jinx Studio’s discretion, with prior notice to the Client.
4.8 The subscription fee excludes any applicable sales tax, VAT, GST, or other government-imposed charges, unless explicitly stated otherwise. Clients are responsible for any such taxes or duties required by their jurisdiction.
4.9 If taxes must be collected, they will be added at checkout and clearly displayed before payment is completed.
4.10 The Subscription covers standard design services. Additional fees may apply for requests requiring faster turnaround times, complex or non-standard work, or premium third-party assets.
4.11 Requests that exceed the standard scope of services, such as complex illustrations, motion graphics, or branding strategy, may be subject to additional charges.
4.12 Although reasonable revisions are included, an excessive number of modifications or major redesigns may incur additional fees.
4.13 Clients may select a white-label version of the Services during subscription checkout or request it later during the subscription period. This upgrade removes all Jinx Studio design credits in deliverables, including, but not limited to, design credits, app footers, website footers, file names, and metadata, and increases the subscription price by ten percent (10%).
4.14 By subscribing to the Services, the Client authorizes Jinx Studio or its payment processor to charge the provided payment method for the agreed subscription fee, along with any applicable taxes and additional fees.
5.1 Jinx Studio accepts various payment methods for all subscription plans, including credit and debit cards (Visa, MasterCard, American Express), bank transfers in the European Union and the United States, and digital payment services such as PayPal, Stripe, Apple Pay, and Google Pay, where available. Cryptocurrency payments are also accepted in Tether (USDT), Bitcoin (BTC), Ethereum (ETH), and other supported cryptocurrencies. Transaction fees may apply depending on the method used.
5.2 The Client must provide a valid and authorized payment method at the time of purchase. Jinx Studio reserves the right to decline service if the payment method is invalid, declined, or flagged as high risk or suspicious.
5.3 Payments are processed automatically at the beginning of each billing cycle. The Client will receive a confirmation email after each successful payment.
5.4 Subscriptions are billed based on the selected plan’s billing cycle. Monthly subscriptions are charged every 30 days from the initial subscription date. Quarterly subscriptions are charged every 90 days from the initial subscription date.
5.5 All subscriptions are set to auto-renew by default to ensure uninterrupted service. The Client’s selected payment method will be charged automatically at the end of each billing cycle unless the subscription is canceled in advance.
5.6 If the payment fails due to insufficient funds, expired payment methods, or other issues, Jinx Studio will attempt to process the payment up to three times. If all attempts fail, service will be suspended until successful payment is received. Once payment is received, service will resume promptly, and any in-progress work will continue from where it was paused.
5.7 Clients may manage or cancel auto-renewal at any time by adjusting settings in their payment provider account or by contacting Jinx Studio support at hey@jinx.design. To avoid charges for the next billing cycle, cancellation must be completed at least one (1) day before the renewal date.
5.8 If auto-renewal is disabled, the subscription will remain active until the end of the current billing period. Upon expiration, the Client’s access to the Services will be terminated unless a new subscription is initiated.
5.9 If payment is not successfully processed after multiple attempts, the Client’s access to design services will be temporarily suspended. If payment remains outstanding for more than fourteen (14) days, the subscription will be permanently terminated.
5.10 In the event of a payment dispute or chargeback, Jinx Studio reserves the right to suspend services immediately until the matter is resolved. Clients are encouraged to contact support before initiating any chargeback.
5.11 Chargebacks determined to be fraudulent or submitted in bad faith may result in permanent termination of the Client’s account and ineligibility for future services.
6.1 Upon full payment for the Services, the Client obtains ownership of the final design deliverables created by Jinx Studio. These may include, but are not limited to, graphic designs, branding assets, and other visual materials.
6.2 The Client is granted a non-exclusive, worldwide, perpetual license to use, modify, reproduce, and distribute the final deliverables for business and commercial purposes. However, the Client may not resell or sublicense the deliverables to third parties unless explicitly permitted under this license. All rights not expressly granted are reserved by Jinx Studio.
6.3 The Client’s rights extend only to the final deliverables. Jinx Studio retains ownership of all internal tools, templates, workflows, source files, and other proprietary resources used in the design process, unless otherwise agreed in writing.
6.4 The Client is solely responsible for ensuring that all third-party assets included in the deliverables, such as fonts, images, or icons, are properly licensed for their intended use. Jinx Studio disclaims all liability for misuse of unlicensed or improperly licensed assets.
6.5 Jinx Studio reserves the right to revoke the license granted under this Agreement if the Client breaches any of its material obligations.
6.6 Jinx Studio retains the right to publicly showcase completed design work for promotional purposes. This may include displaying work in the Studio’s portfolio, website, case studies, social media, and other marketing channels.
6.7 If the Client does not wish for their work to be showcased, they must notify Jinx Studio in writing. Such requests will be honored to the extent reasonably possible, and any previously published materials will be removed within a reasonable time following the request.
6.8 Unless otherwise agreed in writing or through the purchase of a white-label subscription, Jinx Studio reserves the right to include discreet design credits in deliverables, including, but not limited to, design credits, app footers, website footers, file names, and metadata. These credits may not be removed, hidden, or replaced without prior written permission.
6.9 The white-label upgrade may be selected during subscription checkout. The upgrade may also be applied retroactively, subject to the same pricing conditions. Unless the upgrade has been explicitly requested and paid for, the Client agrees not to remove, alter, or conceal any Jinx Studio branding, credits, or attributions included in the deliverables. Unauthorized removal will result in additional charges equal to the white-label fee and may lead to service suspension or refusal of future collaboration.
7.1 Jinx Studio agrees to maintain the confidentiality of all non-public information shared by the Client during the course of the subscription. This includes, but is not limited to, business plans, marketing strategies, technical data, project details, user data, proprietary materials, and any other information marked or reasonably understood to be confidential.
7.2 Jinx Studio shall not disclose, share, or use any such information for any purpose other than to perform the Services, unless required by law or with the Client’s prior written consent.
7.3 If the Client is located in the European Union or otherwise subject to the General Data Protection Regulation (GDPR), both parties agree to comply with applicable data protection laws. Jinx Studio shall process any personal data received from the Client solely for the purpose of delivering the Services, and only as permitted by applicable law.
7.4 Confidentiality and data protection obligations shall remain in effect throughout the duration of the subscription and for two (2) years after termination of this Agreement, unless otherwise agreed in writing.
7.5 The Client acknowledges that this clause does not apply to information that is publicly available, was already known to Jinx Studio before disclosure, or is independently developed without reference to the Client’s materials.
7.6 The Client agrees not to directly engage, solicit, or hire any Jinx Studio team member during the term of this Agreement and for a period of twelve (12) months following its termination, without prior written consent from the Studio. Direct engagement includes, but is not limited to, offering or accepting freelance work, employment, consulting, or partnership, whether compensated or not, outside of the Studio’s involvement.
8.1 The subscription start date shall be the date on which payment is successfully processed.
8.2 Refund eligibility depends on the type of subscription and the timing of the cancellation.
8.3 The Trial Task is non-refundable unless no work has been delivered by Jinx Studio.
8.4 For monthly subscriptions (thirty (30) days), the Client may request a partial refund within the first seven (7) calendar days of the subscription. The refundable amount will be prorated based on the number of calendar days elapsed from the subscription start date, including the day of cancellation. No refunds will be issued after the seventh (7th) day.
8.5 For quarterly subscriptions (ninety (90) days), the Client may request a partial refund within the first thirty (30) calendar days of the subscription. The refundable amount will be prorated based on the number of calendar days elapsed from the subscription start date, including the day of cancellation. No refunds will be issued after the thirtieth (30th) day.
8.6 The Client may request to temporarily freeze their subscription at any time, for any reason, for a period of up to 365 consecutive calendar days. All such requests must be submitted in writing and are subject to approval by Jinx Studio. If approved, the remaining unused days will be credited and the subscription term extended accordingly. No new requests or revisions will be accepted or processed during the frozen period. There is no limit to the number of freeze requests a Client may submit, provided that each request is approved individually by Jinx Studio.
8.7 If Jinx Studio materially fails to deliver the Services in accordance with this Agreement, and the issue is not resolved within a reasonable period after written notice from the Client, the Client may request a full or partial refund at the Studio’s discretion.
8.8 Refunds will not be issued for any subscription period in which design work has been delivered, unless the refund request is made within the eligible window outlined in clauses 8.4 or 8.5.
8.9 If the subscription is terminated by Jinx Studio due to a breach of this Agreement by the Client, no refund shall be provided.
9.1 Jinx Studio reserves the right to terminate a subscription under the following circumstances: failure to complete payment or resolve a failed transaction; violation of the terms set forth in this Agreement; abusive behavior toward any member of the Jinx Studio team; or any other material breach of contractual obligations.
9.2 In the event of termination, the Client will be notified via email with a clear explanation of the reason and the effective date of termination.
9.3 Upon termination, the Client will immediately lose access to Jinx Studio’s services, and any outstanding payments must be settled without delay.
9.4 The termination of this Agreement shall not affect provisions that are intended to survive, including, but not limited to, those related to payment obligations, intellectual property, and confidentiality.
10.1 This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Georgia.
10.2 In the event of any dispute or disagreement arising from this Agreement, the parties agree to first attempt to resolve the issue through informal negotiation. If unresolved, the parties may agree to resolve the matter through binding arbitration in a neutral jurisdiction. If arbitration is not mutually agreed upon, the courts of the Republic of Georgia shall have exclusive jurisdiction.
10.3 If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.
10.4 Jinx Studio’s total liability for any claim arising under this Agreement shall be limited to the amount paid by the Client for the specific Services that gave rise to the claim.
10.5 Jinx Studio shall not be liable for any indirect, incidental, or consequential damages, including, but not limited to, loss of profit, revenue, data, or business opportunity.
10.6 Jinx Studio shall not be held liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control. These may include, but are not limited to: natural disasters, war, terrorism, civil unrest, acts of government or law enforcement, labor strikes, pandemics, internet or utility outages, or other events commonly recognized as force majeure.
10.7 This Agreement represents the full and complete understanding between Jinx Studio and the Client. It supersedes any prior agreements, communications, or understandings, whether oral or written, regarding the subject matter of the Agreement.
10.8 The Client may not assign or transfer any rights or obligations under this Agreement without prior written consent from Jinx Studio.
